Corporate law

UGGC & Associés has extensive expertise in corporate law, both as a consultant and for litigation matters. In fact, public authorities regularly consult the firm’s Corporate Law department partners when drafting bills in the area of corporate law.

UGGC & Associés regularly advises all kinds of corporations, SMEs and international groups of companies on all of their corporate governance issues. Several partners of our corporate law team are former legal directors of companies, and our team therefore has relevant experience in setting up and ensuring the follow-up of governance structures (specialist committees, governance reports…) and is involved in governance audits to check the compatibility of organizations with the best practices on hand.

Our firm has recognized expertise in the management of annual eneral meetings, on behalf of listed companies in particular and especially in the event of disagreements between shareholders.

The Corporate Law department lawyers also handle on a daily basis corporate law issues for several clients, companies or groups of companies, assisted by a team of specialist jurists, to oversee aspects of legal security in the drawing up of their legal documentation in compliance with legal formalities and the relevant authorities.

UGGC & Associés is involved in the corporate management of groups of companies: choosing legal structures, setting up holdings, internal restructuring by way of mergers or contribution of a business branch, setting up profit sharing plans (stock options, free shares, mutual savings funds, management packages…).

Our Corporate Law teams, in collaboration with our litigation and arbitration team, regularly assist our clients with corporate law litigation issues: minority assessment, defending directors in liability suits, drawing up assets and liabilities guarantee agreements, enforcement of shareholders’ agreements, settlement of disputes within joint ventures… Several of our lawyers are ICC arbitrators and are regularly involved in arbitrations on corporate law issues.
