Over the last ten years, UGGC & Associés has become a major player in the field of Mergers & Acquisitions. With a team of 9 partners and more then 15 specialized associates, UGGC & Associés is involved in all types of Mergers & Acquisitions, large-cap and mid-cap, public offering or private takeover, domestic or trans-national transactions, in France or abroad, in Morocco and in Asia (China) in particular.
UGGC & Associés represents and assist clients, both French and foreign, consisting mostly of international groups, investment funds and credit establishments, as well as corporations, whether listed or not, their managers and shareholders, in various business sectors. In particular, UGGC & Associés assists almost daily, international French groups in their overseas development.
UGGC & Associés advises its clients throughout the whole M&A process, during talks (mandates, confidentiality agreements, letters of offer or of interest, organization and management of the data room – actual or virtual), as well as with drawing-up and negotiating all legal documentation required to complete the transaction (merger agreement, transfer or acquisition agreement, assets and liabilities guarantee agreement, financing agreement, sureties and letters of credit, etc). The firm’s Mergers & Acquisitions team undertakes any necessary reviews required under stock exchange law, and in particular in public offerings and handles all relations with market authorities.
UGGC & Associés has competent technical departments in all areas of law, which enable them to rapidly assemble a team (tax law, labour law, competition and concentration law, public and environment law). The firm sets up an audit team that carries out due diligence on any target company. These technical teams enable the firm handle any legal issues that may arise through a merger or acquisition transaction (tax structure of investment, information and consultation of staff representatives, permit transfer for classified facilities…).
The lawyers of our Corporate Law department are also involved in all types of industrial agreement transactions both in France and abroad: creating joint ventures, negotiating cooperation agreements, drafting shareholders’ agreements, completing business branch spin-off and/or restructuring transactions.
