UGGC Avocats assists Bpifrance in the reorganization of the capital of Federation Entertainment

Paris, June 7, 2021 – UGGC Avocats, a leading business law firm, has advised Bpifrance, a shareholder of Federation Entertainment since 2018, on the occasion of the reorganization of the production company’s capital.

Federation Entertainment has just completed a new round of financing which includes the arrival of a new financial investor: Montefiore Investment and the reinvestment of BNP Paribas Développement (shareholder since 2018). The shares of the 3 investment funds Amundi Private Equity Funds, Alliance Entreprendre and Entrepreneur Invest which had participated in the first round of financing in 2018 have been bought by Montefiore Investment which now holds nearly 30% of Federation Entertainment’s capital.

As part of this transaction, Bpifrance and BNP Paribas Développement also sold part of their shares to Montefiore Investment but continue to support the Federation Entertainement group by retaining a minority stake in the company’s capital.

Founded in 2015, Federation Entertainment is a production company with operations in seven countries. The group is behind several popular hits such as Le Bureau des Légendes for Canal +, and Marseille for Netflix Original. Present in an increasingly competitive market, the company wants to accelerate its international external growth through this capital reorganization and become a global player in the audiovisual sector.

Created in 2012 and headed by Nicolas Dufourcq, Bpifrance finances companies – at every stage of their development – with credit, guarantees and equity. Bpifrance supports them in their innovation and international projects and also ensures their export activity through a wide range of products. Consulting, networking and acceleration programs for startups, SMEs and ETIs are also part of the offer to entrepreneurs.

The UGGC Avocats team that assisted Bpifrance in this transaction was composed of Charles-Emmanuel Prieur (partner) and Laura Malach (counsel).

Other counsel involved in the transaction

Frieh Associés advised the production company Federation Entertainment with Michel Frieh (partner) and Chiraz Zribi (associate).
